The California Association of Nonprofits
(CAN) is seeking nominations of qualified individuals to serve
on the CAN Board of Directors. Board members represent CAN and are advocates
for its mission and activities. Responsibilities include governance and
leadership to support the organization’s programs and
activities. CAN board members consider the social, cultural,
political, and economic landscapes in which California
nonprofits operate and provide advocacy for its members and the
state's more than
145,000 tax-exempt organizations.
Seven candidates will be elected on the
ballot to be distributed in June.
CAN is a
501(c)(3) nonprofit membership organization dedicated to
protecting and promoting the influence, accountability, and
effectiveness of California nonprofits in a manner that builds
their capacity to accomplish their missions and to enhance the
visibility and value of nonprofits in California.
CAN seeks a wide spectrum of committed candidates
representing California’s nonprofit sector. Self-nominations are
welcome. They must
participate as an active officer of the board or as a member of
committees or task forces.
They are expected to participate in all scheduled board
meetings (typically three meetings per year alternating between
Northern and Southern California), with conference call meetings
as needed, as well as participate on board committees. Nominees, or their
organizations, must be members of CAN before they are selected
as a candidate.
Nominees (or their organizations) must be willing to bear
the cost of board participation - CAN does not reimburse
personal expenses incurred as a board member.
Board terms are three years; board members may serve
no more than two consecutive terms. However, to implement staggered terms so that
not all terms are starting and ending at the same time, a recent
bylaw amendment provides for a select number of members to serve
two year terms on a one time basis. At the July 2009 meeting, five board
members will be assigned two year terms and five members will be
assigned three year terms.

CAN’s Election
Process
The Board of Directors is a minimum of 15 and a
maximum of 20 person body that governs CAN. Two-thirds of the
directors are elected by CAN’s membership and one-third of
the directors are elected by the Board. This year, there will be
12 openings on the Board – 5 will be appointed by the
Board and 7 will be elected by CAN
members.
All qualified applicants will be placed on the
ballot. The seven candidates with the highest votes will be
seated on CAN’s Board of Directors. Ballots will be
distributed to all voting members (approximately 1,575 member
organizations) on June 1st. The ballots will be electronically delivered
to those members with email addresses in their member profiles
and sent via U.S. Postal Service to those without email
addresses. Voting
will close on July 5th and a notice will be sent to
all members by July 8th with the election
results.
