To the Members of the California Association of Nonprofits,

 

     As a member organization, any changes to our Bylaws which affect your rights as a member must be voted on and passed by our membership.   In compliance with this requirement, we are requesting a change to CAN’s Bylaws that will:

 

1.        Clarify CAN’s Bylaws regarding voting by email.  This will not only be easier for many of our members but will also save natural resources and operating costs.  For those members who do not have an email address, ballots will continue to be mailed via the U.S. Postal Service.  (If you’ve received this letter and ballot by email, you’ll also receive a copy through the mail.  Please feel free to vote by either fax or return email.)

 

2.       Allow three of our current Board Members to serve an additional term.   Our general Board election will occur this July and most of our current Board members’ terms will expire at that time.  An additional term for three of our current Board members will provide the organization with a smooth transition and ensure the exchange of on-going information and historical data necessary for a smooth transition.

 

3.       Institute  staggered board member terms.  To provide continuity and smooth board transitions in the future, we are proposing a one-time staggering of elected board members in the 2009 election.  This one time implementation of two year terms for some board members, will establish on-going staggered terms in the future.  This bylaw change will allow 5 member elected board members with two year terms and 5 member elected board members with three year terms.

Proposed Changes of bylaws

For

California Association of Nonprofits (CAN)

 

 

Proposed Amendment of Article XII Section 6

 

1.       Article XII, Section 6 of the bylaws will be amended by adding the underlined text to, and deleting the crossed-out text from the last sentence of the second paragraph, to read:

 

?Ballots will be given distributed to members either personally, by mail, by email or by other form of written communication, addressed to the member at the address of such member appearing on the books of the corporation

 

 

Proposed Amendment of Article XII Section 4

 

2.       Article XII, Section 4 of the bylaws will be amended by adding the underlined text and deleting the crossed-out text, to read:

 

Section 4.  Election and Term of Office.  Except as otherwise provided in this Section, each director will have a three year term and will serve no more than two consecutive terms.  The directors’ terms shall be staggered so that no more than two-thirds of the directors’ terms end in any given year.  

 

The staggered terms will be implemented as follows:  In 2009, the terms of three of the incumbent directors elected by the members will be extended by an additional three years.  

 

During the 2009 election of directors, as described in Article XII, Section 7, the members shall elect five directors to a special two-year term and two directors to a regular three-year term.   Neither the extension of a director’s term nor a special two year  term shall not be considered in determining whether a director has served two consecutive terms.

 

Two-thirds of the directors will be elected by written ballot of the membership, as specified in Article XII – Meetings of Members.  Their terms will be staggered so that elections for approximately half of this 2/3 occur every second and third year.

 Please vote by indicating your approval or disapproval below.   At least 50 votes are required to reach a quorum.    If a quorum is reached, a majority of the votes cast will determine the outcome of the proposal.  Ballots must be received by March 31, 2009 to be counted..
